LD Ops is an internal resale-operations platform operated by Swapila, LLC under the LD True brand.

1. Acceptance of Terms

These Terms of Use ("Terms") govern access to and use of LD Ops, including the LD Ops website, Chrome extension, and mobile intake application (the "Services"). LD Ops is an internal resale-operations platform operated by Swapila, LLC under the LD True brand.

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Authorized Use Only

LD Ops is a private internal business tool. Access is granted only to individuals authorized by Swapila, LLC or its designees. You may not use the Services unless you have been expressly permitted to do so.

3. Accounts and Credential Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly at luccadavidvintage@gmail.com if you suspect unauthorized access.

You may not share credentials, permit others to use your account, or attempt to access another user's workspace without authorization.

4. Permitted Resale-Operations Use

You may use the Services only for legitimate internal resale-operations purposes consistent with their design, including inventory management, listing synchronization, operational intake, analytics, and related workflows supported by LD Ops.

5. Marketplace Account Responsibility

You are solely responsible for your marketplace accounts and for any actions taken through those accounts using LD Ops or the Chrome extension. LD Ops interacts with marketplaces only as directed by an authorized user through supported integrations.

6. Marketplace Rules and Compliance

You must comply with the terms, policies, and rules of Depop, Vendoo, Grailed, and any other marketplace or third-party service you use in connection with LD Ops. Swapila, LLC is not responsible for marketplace enforcement actions, account restrictions, or policy violations arising from your use of those services.

7. No Guarantee of Automated Actions

LD Ops and the Chrome extension may automate or assist with certain marketplace actions, but we do not guarantee that any automated or assisted action will always succeed, complete on time, or produce a particular result. Marketplace interfaces, APIs, and site behavior may change without notice.

8. Your Responsibility to Verify

You are responsible for reviewing and verifying listings, prices, sale data, discounts, fees, and marketplace actions before and after they are applied. Do not rely on LD Ops as the sole source of truth for financial, legal, or marketplace compliance decisions.

9. Prohibited Conduct

You agree not to:

Access or attempt to access the Services without authorization
Share credentials or circumvent authentication or workspace controls
Reverse engineer, decompile, or attempt to extract source code except where permitted by law
Interfere with or disrupt the Services, infrastructure, or other users
Use the Services for unlawful, fraudulent, or abusive purposes
Misrepresent your identity or affiliation

10. Intellectual Property

The Services, including software, design, branding, and documentation, are owned by Swapila, LLC or its licensors and are protected by applicable intellectual property laws. These Terms do not grant you any ownership interest in LD Ops or the LD True brand assets.

11. Your Content and Marketplace Rights

You are responsible for listing content, photos, descriptions, and other materials you upload or process through LD Ops. You represent that you have the rights necessary to use and submit that content and that your use does not infringe third-party rights or violate marketplace policies.

12. Third-Party Services and Marketplaces

The Services may depend on or interact with third-party providers and marketplaces, including Supabase, Vercel, Depop, Vendoo, Grailed, Apple, and Expo. Those services are governed by their own terms and policies. Swapila, LLC is not responsible for third-party services outside our reasonable control.

13. Service Availability and Modifications

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, to maintain security, comply with law, or improve operations. We do not guarantee uninterrupted or error-free operation.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWAPILA, LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID TO US FOR ACCESS TO THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER. BECAUSE LD OPS IS CURRENTLY PROVIDED AS AN INTERNAL OPERATIONS TOOL WITHOUT A PUBLIC CONSUMER SUBSCRIPTION, THE APPLICABLE AMOUNT MAY BE ZERO.

16. Indemnification

You agree to defend, indemnify, and hold harmless Swapila, LLC and its officers, members, employees, and agents from and against claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your marketplace activity, your content, your violation of these Terms, or your violation of any law or third-party rights.

17. Termination or Suspension

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, pose a security risk, or are no longer authorized to use LD Ops. Upon termination, your right to use the Services ends immediately.

18. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict-of-law principles. Courts located in Massachusetts will have exclusive jurisdiction over disputes arising from these Terms or the Services, except where applicable law requires otherwise.
